Limitation of Liability

To the maximum extent permitted by law, Sydell, Inc. and its affiliates shall not be liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business interruption.

Our total liability shall not exceed the amount paid by you for products or services through the Service, or $100 USD if no purchase has been made.

Some jurisdictions do not allow certain limitations, so these limits may not apply to you in full.

The Service and all products are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including warranties of merchantability or fitness for a particular purpose, except as expressly stated in our written product warranty.

Governing Law

These Terms are governed by the laws of the State of South Dakota, United States, without regard to conflict of law principles.

Before pursuing legal action, you agree to attempt to resolve any dispute informally by contacting Sydell, Inc.

United States Legal Compliance

You represent that you are not located in a country subject to U.S. embargo and are not listed on any U.S. government restricted-party list.

Severability and Waiver

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Failure to enforce any right does not constitute a waiver of that right.

Changes to These Terms

We may update these Terms at any time. Material changes will be posted on our website with an updated effective date. Continued use of the Service constitutes acceptance of the revised Terms.

Product Warranty

All items manufactured by Sydell, Inc. are warranted against defects in material and welding workmanship for one (1) year from the date of shipment. Paint and finishes are not warranted due to wear from shipping, handling, and manure exposure. All repairs must be factory-authorized. Sydell is not responsible for delays or unauthorized work.

Service & Payment Terms

• $30 service charge for returned checks

• 2% monthly (25% annually) interest on overdue invoices

• 15% restocking fee on refused or canceled in-transit orders
